Terms of Service

1. Acceptance of Terms

By registering for, accessing, or using the AgentShield platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

AgentShield provides an AI observability, governance, and proxy gateway platform that allows users to manage, route, and monitor interactions with third-party Artificial Intelligence models ("Upstream Providers"), such as OpenAI, Anthropic, and others. Important Disclaimer: AgentShield acts solely as a middleware and orchestration layer. We do not generate the AI content ourselves, nor do we control the availability of Upstream Providers.

3. Use of Service and Restrictions

You agree to use the Service only for lawful purposes. You shall not: • Use the Service to generate, route, or process illegal, harmful, or abusive content. • Attempt to reverse engineer, decompile, or discover the source code of the Service. • Use the Service to bypass rate limits or security mechanisms of Upstream Providers. • Resell or sublicense the Service without our express written consent.

4. AI Content and Liability

No Warranty on Output: You acknowledge that AI models can produce inaccurate, offensive, or biased content ("Hallucinations"). AgentShield is not responsible for the quality, accuracy, or legality of the content generated by Upstream Providers routed through our Service. Your Responsibility: You are solely responsible for verifying the output of the AI before using it in production, especially in critical sectors (medical, legal, financial).

5. Data Privacy and Regional Sovereignty

Data Processing: By using the Service, you consent to the processing of data as described in our Privacy Policy. Region Selection: If you select a specific data region (e.g., EU or US) during sign-up, AgentShield will make commercially reasonable efforts to process your data within that jurisdiction. However, you acknowledge that routing to certain Upstream Providers may necessitate data transfer outside your selected region, subject to those Providers' policies.

6. Fees and Payments

Usage-Based Billing: Services are billed based on consumption (e.g., tokens processed, API calls). You agree to pay all fees associated with your usage.

Model Arbitrage: Our "Cost Optimization" features use automated logic to select cheaper models. We do not guarantee specific savings and are not liable for cost discrepancies resulting from Upstream Provider price changes.

No Refunds: All fees are non-refundable unless otherwise required by law.

7. Termination

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTSHIELD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Indemnification

You agree to defend, indemnify, and hold harmless AgentShield and its employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any significant changes. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.
